We are looking for a proven legal professional to oversee our global corporate matters. As Corporate Counsel, you will be the primary attorney on M&A and other strategic transactions and will support all phases of these deals including drafting and negotiating terms sheets, merger agreements, and ancillary documents. Further, you will manage the diligence process and other deal mechanics including closings and post-closing matters. You will work closely with our General Counsel and Head of Corporate Development across all corporate matters, globally. This position will be both wide in breadth and deep in substance. Responsibilities:

• Manage and negotiate strategic corporate deals of all types, including M&A, strategic investments, venture financing, complex partnership, and other strategic transactions,

• Standardize due diligence execution across internal teams.

• Draft and negotiate LOIs and deal agreements.

• Manage outside counsel, as needed, and coordinate post-close matters.

• Support corporate entity creation and management, including international expansion.

• Assist in drafting and reviewing other public disclosures and corporate communications, as needed, including board/investor releases, press releases, and blogs.

• Support the General Counsel and Head of Corporate Development in the planning and execution of board meetings and shareholder communications.

• Manage complex legal aspects of major business transitions with an emphasis on organization, collaboration, and communication.

• Lead all areas related to the company’s securities laws matters and related compliance, including IPO readiness, investor relations, proxy management, and SEC reporting and disclosures as needed.

• Design, build, and improve legal department processes as we scale.

Job Requirements:

• 5+ years of corporate legal experience in a law firm and with substantial relevant experience running general corporate deals, including M&A and venture financings.

• Deep experience with corporate governance, structuring and negotiating M&A and financing transactions; and managing subsidiaries.

• Excellent writing, oral communication, and organizational skills.

• Eager to learn about new and emerging technologies.

• Comfortable navigating complicated and nuanced legal issues.

• Experience working successfully in cross-functional or matrixed organizations.

• Maintains composure in fast-paced, challenging environments.

• Partner with cross-functional internal teams on various other corporate legal projects.

• JD degree required, bar admission, and in good standing in at least one state.
